This Website Services Agreement ("Agreement") is entered into between Cavasite ("Provider") and the individual or business identified in the signature block below ("Client"), effective on the date the Client signs electronically.
Client engages Provider to design and build a custom website as described in the plan selected at checkout, and Provider accepts the engagement on the terms of this Agreement.
Provider will design and develop a custom, mobile-responsive website for Client's business, including domain connection and SSL setup as described in the selected plan. Work outside the selected plan requires a separate written agreement.
If Client selects the Hosted Plan, Client will pay $499 at checkout, consisting of a one-time build fee of $400 and the first month of hosting and maintenance at $99. Hosting then continues at $99 per month, with the second month due one month after checkout. The hosting subscription may be cancelled at any time with 30 days written notice.
If Client selects the Files Only plan, Client will pay a one-time fee of $499 for the build and source files, with no monthly charge.
Provider will launch the completed website the same day or within 48 hours after receiving all required content from Client. The build includes one (1) round of revisions after delivery. If Client is on the Hosted Plan, Provider will additionally perform one (1) small revision per month, together with ongoing support, for as long as the hosting subscription remains active.
After payment is received, Provider will contact Client to ask which domain name Client would like for the website. Domain availability is determined by third-party registrars and cannot be guaranteed in advance. If the domain Client requests is unavailable, or cannot be registered for any other reason, Provider may select and register a reasonably similar alternative domain and proceed with it so that the build stays on schedule. Provider will notify Client of any such substitution.
Client agrees to provide content, materials, and feedback in a timely manner, and warrants that all materials supplied are lawful and do not infringe the rights of any third party. Delays in providing content or feedback extend the delivery timeline accordingly.
The build fee is due in full before work begins and is non-refundable once design work has started, except that Client may request a full refund under Provider's 7-day money-back guarantee at any time before the first design delivery. Monthly hosting fees are billed in advance and are non-refundable for the month in progress.
Upon receipt of full payment, ownership of the website design and full source files transfers to Client. Provider retains the right to display the completed work in its portfolio and marketing materials unless Client requests otherwise in writing.
If Client cancels the Hosted Plan, Provider will deliver all site files to Client, and the hosted site will be taken down fourteen (14) days after the cancellation takes effect.
To the maximum extent permitted by law, Provider's total liability under this Agreement is limited to the fees actually paid by Client. Provider is not liable for indirect, incidental, or consequential damages, including lost profits or lost data.
Provider is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, or employment relationship between the parties.
Client agrees that checking the acceptance box and signing below constitutes a legally binding electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act), with the same force and effect as a handwritten signature.
